Client names, marks, and creative work shown on the Site remain the property of their respective owners and are displayed for portfolio and identification purposes only. Nothing on the Site grants you any license or right to use any trademark displayed on the Site without the prior written permission of its owner.

You may view, download, and print pages from the Site for your own personal or internal business reference, provided you retain all copyright and proprietary notices and do not modify the materials. All other uses require our prior written consent.

Submissions And User Content.

If you submit any information, materials, ideas, feedback, or other content to us through the Site — including through a contact form, newsletter signup, or email — you represent that you own or otherwise control all rights in that content and that it does not infringe the rights of any third party.

Any engagement of Maycreate for professional services is governed exclusively by a separate written agreement, proposal, or statement of work executed by both parties. In the event of any conflict between these Terms and such an executed agreement, the executed agreement controls with respect to that engagement.

Descriptions of past work, capabilities, results, and outcomes shown on the Site are illustrative and do not constitute a guarantee, warranty, or prediction of results for any future engagement.

The Site may contain links to websites, resources, or content operated by third parties. We provide those links for convenience only and do not control, endorse, or assume responsibility for any third-party site or its content, privacy practices, or terms. Limitation Of Liability.

YOU EXPRESSLY AGREE THE MAYCREATE PARTIES SHALL HAVE NO LIABILITY TO YOU FOR ANY CLAIM BROUGHT AGAINST YOU BY A THIRD PARTY. TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAW, IF ANY OF THE MAYCREATE PARTIES IS RESPONSIBLE FOR ANY DAMAGES, THE MAXIMUM AMOUNT YOU MAY RECOVER FOR ANY AND ALL CLAIMS RELATING TO YOUR USE OF THE SITE OR YOUR PURCHASE OF PRODUCTS OR SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO MAYCREATE. Indemnification.

You agree to indemnify, defend, and hold harmless the Maycreate Parties from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site, your violation of these Terms, your violation of any applicable law, or your infringement of any right of a third party.

Suspension And Termination.

We may suspend or terminate your access to the Site at any time, with or without cause and with or without notice. Upon termination, the provisions of these Terms that by their nature should survive — including those regarding intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will remain in effect.

Governing Law And Jurisdiction.

These Terms shall be construed and governed under the laws of the United States and State of Tennessee (without regard to rules governing conflicts of laws provisions). You agree that venue for all actions, arising out of or relating in any way to your use of our Site or Services, shall be in federal or state court of competent jurisdiction located in Chattanooga, Tennessee, within one (1) year after the claim arises. Each party waives any objections based on forum non conveniens and waives any objection to venue of any action instituted hereunder to the extent that an action is brought in the courts identified above. Each party consents to personal jurisdiction in the courts identified above.

General Provisions.

If any provision of these Terms is found to be unenforceable, that provision will be limited or eliminated to the minimum extent necessary and the remaining provisions will remain in full force. Our failure to enforce any right or provision is not a waiver of that right or provision. These Terms, together with our Privacy Policy and any executed agreement for services, constitute the entire agreement between you and Maycreate regarding the Site. You may not assign these Terms without our prior written consent; we may assign them without restriction.
